Finding the right factory is only half the job. The other half is putting your expectations in writing. A clear supply agreement protects your brand when something goes wrong, and it keeps both sides aligned when everything goes right. Here are the terms we recommend every private-label cat litter brand review before placing a first order.
Product Specifications and Tolerances
Your agreement should reference a signed product specification sheet: litter type, granule size, moisture content, clumping strength, dust level, fragrance and net weight. Just as important are the tolerances. A spec that says “low dust” invites debate. A spec with a measurable limit and an agreed test method does not.
Quality Acceptance and Inspection
Spell out how a shipment is accepted. Common approaches include:
- Pre-shipment inspection by your own team or a third-party inspector
- An agreed AQL sampling level for packaging and print defects
- Retained samples from each batch, kept by the factory for a set period
This turns “the product feels different” into a process both sides can check against batch records.
Defect Claims and Remedies
Agree in advance what happens if goods arrive out of spec. Define the claim window (for example, a set number of days after arrival), the evidence required (photos, lab results, batch numbers) and the remedy: replacement, credit note or refund. Clear defect claim terms prevent long email threads and protect the relationship.
Formula and Artwork Ownership
If you develop a custom formulation or own your packaging design, the agreement should say who owns it. Many brands include confidentiality and non-disclosure clauses so their formula and artwork are not reused for other customers. Ask your manufacturer directly how they handle this.
Pricing, Payment and Lead Times
Confirm how long quoted prices stay valid and what can trigger a change, such as raw material costs or packaging changes. Set out payment terms (deposit and balance), the agreed Incoterm and a realistic production lead time for both first and repeat orders.
Forecasts and Minimum Order Quantities
If you expect to grow, share a rolling order forecast. It helps the factory reserve capacity and raw materials, and it gives you a basis to negotiate MOQs and pricing over time.
